Terms of Service

These Terms of Service ("Terms") govern your access to and use of the EazyChat suite of applications and related services (collectively, the "Services"), operated by SmartSoft Solutions LLC ("EazyChat", "we", "us", or "our").

By creating an account, registering, or using the Services, you agree to these Terms.


1. Description of Services

EazyChat provides AI-powered business automation software including:

  • EazyChat (AI live chat agents)
  • EazyDesk (helpdesk and ticketing automation)
  • EazyVoice (AI voice and call automation)
  • Website scanning and knowledge ingestion
  • Document uploads and training
  • Integrations with third-party platforms
  • Analytics and insights

Features may use artificial intelligence and automated decision-making.

2. Eligibility

You must:

  • Be at least 18 years old
  • Have authority to bind your organization
  • Use the Services for lawful business purposes only

3. Account Responsibilities

You are responsible for:

  • Maintaining account security
  • Safeguarding credentials
  • All activities under your account
  • Reviewing AI outputs before relying on them

4. Acceptable Use

You may not use the Services to:

  • Violate laws or regulations
  • Upload unlawful or infringing content
  • Transmit malware or spam
  • Reverse engineer the platform
  • Abuse or exploit AI systems

We may suspend or terminate violating accounts.

5. Customer Content

Ownership

You retain ownership of all data, files, and content you upload ("Customer Content").

License

You grant EazyChat a limited license to host and process Customer Content solely to provide the Services.

Responsibility

You represent that you have all rights necessary to provide such content.

6. AI Functionality and Outputs

Customer-Specific Training

Customer data may be used to personalize AI agents only for that customer.

No General Training

We do not use identifiable Customer Content to train shared or public AI models.

AI Outputs

AI-generated responses may be inaccurate or incomplete. Human review is recommended.

Automated Actions

AI agents may perform automated actions such as:

  • Creating tickets
  • Sending messages
  • Scheduling calls
  • Triggering third-party workflows

You assume responsibility for results of such actions.

7. Third-Party Integrations

The Services may connect to external platforms (e.g., Shopify, Zapier, CRMs, telephony providers). EazyChat is not responsible for third-party outages, data handling, or actions.

8. Subscriptions and Payments

  • Plans are billed in advance
  • Subscriptions auto-renew unless canceled
  • Trials may include limitations
  • Fees are non-refundable unless required by law
  • Failure to pay may result in suspension
  • Taxes are your responsibility

9. Beta Features

Beta or experimental features:

  • May change or be discontinued
  • May be unstable
  • Are provided without warranties

10. Intellectual Property

All software, AI models, designs, and documentation are owned by EazyChat. You receive a limited, non-exclusive license during your subscription.

11. Confidentiality

Each party agrees to protect confidential information using reasonable safeguards.

12. SMS Messaging Terms

Program Description: EazyVoice (operated by SmartSoft Solutions LLC) sends one-time automated notifications requested by callers during AI voice interactions, such as store addresses or support links.

Message Frequency: This is a one-time message service triggered only upon specific user request; no recurring messages are sent.

Rates: Message and data rates may apply.

Help & Opt-Out: For help, reply HELP. To opt-out of future requested messages, reply STOP.

Liability: Carriers are not liable for delayed or undelivered messages.

13. Service Availability

Services are provided "as is" without guarantees of uninterrupted or error-free operation. No SLA is implied unless explicitly agreed.

14. Disclaimers

We do not guarantee:

  • AI accuracy
  • Business outcomes
  • Revenue improvements

15. Limitation of Liability

Total liability is limited to fees paid during the previous 12 months. We are not liable for indirect or consequential damages.

16. Indemnification

You agree to indemnify EazyChat from claims arising from:

  • Your content
  • Misuse of Services
  • Violations of law

17. Termination

Either party may terminate at any time. Access will cease and data may be deleted after a reasonable period.

18. Governing Law

These Terms are governed by the laws of Florida, United States.

19. Changes

We may update these Terms. Continued use constitutes acceptance.
